These Terms constitute an agreement between you and LeMedix. By accessing or using this website, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.
If you use the website for a facility, organization, company, or other legal entity, you represent that you have authority to accept these Terms on its behalf. If you do not agree, discontinue use of the website.

You must be at least 18 years old and legally capable of entering into a binding agreement to use this website. It is intended primarily for healthcare organizations, professionals, facility representatives, business partners, and other authorized users.

LeMedix provides healthcare-support services that may include clinical laboratory services, mobile phlebotomy, mobile imaging, X-ray, ultrasound, EKG, infectious-disease testing, pharmacogenetic testing, next-generation sequencing, care coordination, PointClickCare-integrated workflows, revenue-cycle management, medical billing, and related operational services.
The website provides general information. It does not establish a provider-patient relationship, authorize treatment, or create a clinical-services agreement.

Service Availability
We work to maintain reliable access but do not guarantee uninterrupted or error-free availability. Features may become unavailable because of maintenance, updates, network interruptions, vendor outages, security events, technical failures, or circumstances beyond our control.
Service eligibility, coverage, availability, and response times may vary by location, facility, staffing, clinical requirements, and applicable agreements.

Information and Data Accuracy
We take reasonable steps to maintain accurate content, but the website may contain incomplete, outdated, or incorrect information. You are responsible for verifying important information before relying on it.
Clinical, laboratory, imaging, billing, and operational decisions must rely on authorized reports, verified records, qualified professionals, and applicable agreements, not general website content.

No Medical or Legal Advice
Website content is provided for general informational purposes. LeMedix does not provide medical diagnosis, treatment, prescribing, individualized clinical advice, legal advice, or regulatory guidance through general website content or contact forms.
Clinical decisions must be made by appropriately licensed professionals using independent judgment and the resident’s complete clinical information.

Emergencies
The website and general contact forms are not intended for emergencies. If someone may be experiencing a medical emergency, call 911 or the appropriate emergency service. Do not submit urgent clinical orders or time-sensitive protected health information through a general website form.

HIPAA and Protected Health Information
LeMedix may process protected health information in connection with certain services. Where applicable, it handles such information in accordance with applicable law and contractual requirements.
- Providers and facilities are responsible for ensuring disclosures are authorized or otherwise permitted.
- A Business Associate Agreement may be required before information is exchanged.
- Protected health information must be submitted only through authorized, secure channels.

Separate Service Agreements
These Terms govern website use. Laboratory, imaging, phlebotomy, billing, integration, and other professional services may be subject to separate written agreements. If a separate agreement conflicts with these website Terms, the separate agreement controls the applicable service.

Payment Terms
Fees, reimbursement responsibilities, billing terms, and schedules for paid services will be stated in applicable service agreements, order forms, fee schedules, or invoices.
- Payments are due according to the applicable invoice or agreement.
- Users must provide accurate billing and insurance information.
- Fees are generally nonrefundable after services are performed.
- Refunds, credits, and adjustments require the applicable agreement or written approval.
Insurance coverage or reimbursement is not guaranteed unless expressly stated in writing.

Third-Party Services
The website and LeMedix services may connect with PointClickCare, healthcare-management platforms, payment processors, laboratories, imaging providers, hosting vendors, analytics services, and other external systems.
LeMedix does not control every third-party service and is not responsible for a third party’s independent availability, content, security, or privacy practices.

- Provide accurate, current, and complete information.
- Keep account credentials confidential.
- Restrict access to authorized personnel.
- Use accounts only for authorized purposes.
- Notify LeMedix promptly of suspected unauthorized access.
- Follow applicable privacy, security, healthcare, facility, and organizational requirements.

Prohibited Activities

Suspension and Termination
LeMedix may suspend, restrict, or terminate access when these Terms are violated; fraudulent activity is suspected; security or privacy is at risk; required payments remain unpaid; a related agreement ends; or continued access may harm LeMedix, a customer, resident, or another party.
Termination does not eliminate obligations that accrued before termination.

Intellectual Property
The website and its text, graphics, branding, logos, designs, photographs, software, layouts, and other materials are owned by or licensed to LeMedix and protected by applicable law.
You may not reproduce, modify, distribute, publish, sell, license, create derivative works from, or commercially exploit website content without written permission.

Website Disclaimer
To the extent permitted by law, the website is provided on an “as is” and “as available” basis. LeMedix does not warrant uninterrupted availability, complete or error-free content, immediate correction of defects, or suitability for every user’s requirements.
This disclaimer does not limit obligations expressly established in a separate written service agreement.

Limitation of Liability
To the fullest extent permitted by law, LeMedix and its officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of, or inability to use, the website.
This may include website interruption, data loss, third-party services, business interruption, lost revenue, and network or transmission errors. These limitations do not apply where liability cannot legally be excluded.

Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless LeMedix and its personnel from claims, losses, liabilities, damages, costs, or expenses arising from your violation of these Terms; unlawful or unauthorized website use; unauthorized information submissions; infringement of another party’s rights; or violation of privacy, confidentiality, or healthcare requirements.

Force Majeure
LeMedix will not be responsible for delays or failures caused by events beyond reasonable control, including natural disasters, severe weather, fire, flood, epidemics, government actions, labor disputes, transportation interruptions, utility failures, cyber incidents, telecommunications outages, and third-party infrastructure failures.

Governing Law and Dispute Resolution
The parties should first attempt to resolve disputes through good-faith discussions. Unresolved disputes will be handled according to applicable law and any dispute-resolution provisions in a separate agreement.

Changes to These Terms
LeMedix may update these Terms to reflect changes in services, operations, technology, or legal obligations. Revised Terms will be posted with a new “Last updated” date. Continued use after the revised Terms become effective constitutes acceptance where permitted by law.

General Provisions
If a provision is invalid or unenforceable, the remaining provisions continue in effect. Failure to enforce a provision does not waive the right to enforce it later.
These Terms and the Privacy Policy govern general website use. Separate service agreements, Business Associate Agreements, orders, invoices, and executed documents may impose additional terms.
